1. ELIGIBILITY
In Short: You must be at least 18 years old to use our Services.
Our Services are intended only for adults. You may use our Services only if you are at least 18 years old (or the age of majority where you live, if older) and able to form a binding contract. By using our Services, you confirm that you meet these requirements.
You may not use our Services if we have previously suspended or terminated your account, or if you are prohibited from using them under applicable law. If we learn that a user is under 18, we will deactivate the account and take reasonable steps to delete the related personal information, as described in our Privacy Policy.
2. YOUR ACCOUNT
In Short: Use your real identity, keep your login secure, and you are responsible for activity on your account.
To use most features of our Services, you need to create an account. When you do, you agree to:
- Provide accurate, current, and complete information, including your real name, and keep it up to date.
- Create only one personal account, and not create an account on behalf of someone else without their permission.
- Keep your password confidential and not share your account with anyone.
- Notify us promptly at support@getcommons.app if you believe your account has been accessed without your permission.
You are responsible for all activity that occurs under your account. We are not responsible for losses caused by unauthorized use of your account where you did not keep your login information secure.
You can delete your account at any time from your account settings in our app. What happens to your information after deletion is described in our Privacy Policy and in the section "ENDING YOUR USE OF OUR SERVICES."
3. COMMUNITIES, LEADERS, AND MEMBERS
In Short: Commons provides the platform. Community leaders run their own communities and are responsible for how they manage them.
Our Services let people create and join communities. A user who creates or manages a community is a "leader." A user who joins a community is a "member."
What Commons does. We provide the platform and tools that communities use, such as profiles, rooms, posts, messages, and plans. We do not create, sponsor, endorse, or control individual communities, and leaders are not our employees, agents, or representatives.
What leaders do. Leaders decide how their communities operate, including whether a community is public or private, who may join, and any additional community rules. If you are a leader, you agree to:
- Manage your community consistently with these Terms and applicable law. Your community's rules may be stricter than these Terms, but they may not permit anything these Terms prohibit.
- Describe your community accurately and not use it to mislead members.
- Use member information you can access only to run your community, and not sell it, export it for unrelated purposes, or use it to send unsolicited marketing.
- Only invite people by email if you have a reasonable basis to believe they would welcome the invitation.
- Take reasonable steps to address content or conduct in your community that violates these Terms, and report serious issues to us.
Leaders may approve or decline membership requests, remove members, and remove content within their communities. If a leader wants to delete their account, they may be asked to transfer leadership to another member or close the community first. If a community is closed or deleted, its content may no longer be available.
What members do. When you join a community, you agree to follow these Terms and that community's rules. Leaders and Commons may remove you from a community for violating either.
We may, but are not required to, step in when a leader misuses their role, including by removing leadership privileges, disabling a community, or taking other action described in "MODERATION AND ENFORCEMENT."
4. YOUR CONTENT
In Short: You own what you post. You give us permission to host and display it so our Services can work.
"Your Content" means anything you post, upload, or share through our Services, including profile information, posts, comments, messages, plans, photos, and files.
You own Your Content. We do not claim ownership of Your Content. You are responsible for it, and you confirm that you have the rights needed to share it and that it does not violate these Terms, applicable law, or anyone else's rights.
Permission you give us. To operate our Services, you grant Commons a worldwide, non-exclusive, royalty-free license to host, store, copy, process, adapt (for example, resize or reformat), display, and distribute Your Content, solely to provide, secure, and improve our Services. This includes showing Your Content to the people you share it with, such as members of your communities. We may allow our service providers to do these things on our behalf. We will not use Your Content in advertising for Commons without your permission.
How long this permission lasts. This license ends when you delete Your Content or your account, except that:
- Content you shared with others, such as posts, messages, comments, plans, and files in a community, may remain visible after you leave a community or delete your account so that community history is preserved, as described in our Privacy Policy.
- Copies may remain in backups for a limited period.
- We may keep content as needed for safety, moderation, legal compliance, or to resolve disputes.
Other people's content. Content posted by others belongs to them. You may not copy, share, or use another person's content outside our Services in ways that violate their rights, the community's rules, or these Terms. Remember that other users can see what you share with them and may copy or share it, including outside our Services.
Feedback. If you send us ideas or suggestions about our Services, we may use them without any obligation to you.
5. COMMUNITY CONDUCT
In Short: Treat people with respect. We do not tolerate harassment, abuse, impersonation, or illegal activity.
Commons is built for real connection. You agree not to use our Services to:
- Harass, bully, threaten, intimidate, stalk, or abuse anyone.
- Post hateful content that attacks or demeans people based on race, ethnicity, national origin, religion, sex, gender identity, sexual orientation, disability, age, or other protected characteristics.
- Threaten, promote, or encourage violence, self-harm, or terrorism.
- Post sexually explicit content, or share intimate images of anyone without their consent.
- Post or request any content that sexualizes or exploits minors. We report such content to the appropriate authorities.
- Impersonate any person or organization, misrepresent your identity or affiliation, or create fake or duplicate accounts.
- Share another person's private information, such as their address, phone number, or financial details, without their permission, or share content from a private community in ways that violate members' privacy or the community's rules.
- Engage in, promote, or facilitate unlawful activity, including fraud, scams, or the sale of illegal goods or services.
- Send spam, chain messages, or unsolicited advertising, or use invitations to contact people who have not welcomed them.
- Infringe anyone's intellectual property, privacy, or other rights.
- Collect information about other users, including by scraping or automated means, or use our Services to build lists for marketing.
- Upload viruses or malicious code, or attempt to gain unauthorized access to our Services, other accounts, or our systems.
- Interfere with or disrupt our Services, or get around any access restriction, block, suspension, or other limit.
- Help or encourage anyone else to do any of the above.
Leaders may set additional rules for their communities. We may also publish community guidelines from time to time, which are part of these Terms.
6. MODERATION AND ENFORCEMENT
In Short: We have zero tolerance for objectionable content and abusive users, and we can remove content or accounts that break these Terms.
We have zero tolerance for objectionable content and abusive users. You can report content, members, or communities that you believe violate these Terms by emailing support@getcommons.app. You can also block other members directly in our app. We review reports and aim to act on them promptly.
We do not review all content before it is posted and are not required to monitor our Services. However, we may, at our discretion and without prior notice, take action when we believe content or conduct violates these Terms, creates risk for others, or exposes Commons to legal liability. Actions may include:
- Removing or restricting access to content.
- Limiting features, such as the ability to post, message, or invite others.
- Removing someone from a community or removing leadership privileges.
- Disabling or deleting a community.
- Suspending or permanently terminating an account.
- Reporting conduct to law enforcement and cooperating with legal requests where appropriate.
Where appropriate, we will try to let you know about action taken on your account and why. If you believe we made a mistake, you can contact us at support@getcommons.app to ask us to review the decision.
7. PLANS, EVENTS, AND IN-PERSON MEETINGS
In Short: Plans and meetups are organized by users, not Commons. Use good judgment when meeting people in person.
Our Services let leaders and members create plans and organize events, including in-person meetups. These plans are organized independently by users. Commons does not organize, host, sponsor, supervise, or control them, and is not responsible for the plans themselves, the venues, or the conduct of anyone who attends.
Commons does not conduct background checks, verify identities, or screen users, and cannot guarantee the accuracy of anything users say about themselves or their plans. Your interactions with other users, online and in person, are solely between you and them.
Please take sensible precautions: meet in public places, tell someone where you are going, arrange your own transportation, and leave any situation where you feel unsafe. Any costs, payments, or arrangements for a plan are between the people involved. If you feel unsafe or see something that concerns you, report it to us. In an emergency, contact local emergency services right away.
To the fullest extent permitted by law, you release Commons from claims, losses, and damages arising out of plans, events, and interactions between users, including in-person meetings. If you are a California resident, you waive California Civil Code Section 1542, which says: "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."
8. PRIVACY
Your privacy matters to us. Our Privacy Policy explains what personal information we collect, how we use and share it, and the choices and rights you have. To make a privacy request, visit getcommons.app/privacy-request or email support@getcommons.app.
9. OUR INTELLECTUAL PROPERTY
Our Services, including our software, design, logos, and trademarks, are owned by Commons App Inc. or our licensors and are protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use our Services for their intended purpose.
You may not copy, modify, distribute, sell, or lease any part of our Services; reverse engineer or attempt to extract our source code, except where the law permits it; or use our name, logos, or trademarks without our written permission.
10. COPYRIGHT COMPLAINTS
We respect intellectual property rights. If you believe content on our Services infringes your copyright, please send a notice to support@getcommons.app that includes:
- Your contact information and your physical or electronic signature.
- A description of the copyrighted work you believe has been infringed.
- Where the material you believe is infringing is located on our Services.
- A statement that you have a good-faith belief that the use is not authorized by the copyright owner, its agent, or the law.
- A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner's behalf.
We may remove material in response to valid notices and may terminate the accounts of repeat infringers.
11. THIRD-PARTY SERVICES
Our Services may include links to, or rely on, websites and services operated by others. We do not control and are not responsible for third-party services, and your use of them is governed by their own terms and policies.
12. FEES
Our Services are currently free to use. If we introduce paid features in the future, we will tell you the price and any additional terms before you are charged, and you will only be charged if you choose to purchase them.
13. ENDING YOUR USE OF OUR SERVICES
You may stop using our Services and delete your account at any time from your account settings in our app.
We may suspend or terminate your access to our Services at any time if you violate these Terms, if required by law, or if we reasonably believe it is necessary to protect our Services, our users, or others. We may also modify, suspend, or discontinue all or part of our Services. If we discontinue our Services entirely, we will try to give you reasonable notice.
If we suspend or terminate your account, you may not create a new account, including under a different name or through someone else, without our written permission.
When your account ends, your right to use our Services ends. Sections of these Terms that by their nature should continue, including sections 4 (as it relates to content that remains), 7, 9, and 14 through 21, will continue to apply.
14. DISCLAIMERS
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, COMMONS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not guarantee that our Services will be uninterrupted, secure, or error-free, or that content will be accurate or preserved. We are not responsible for content posted by users, the actions of leaders or members, or any plans, events, or meetings organized through our Services. Some jurisdictions do not allow certain disclaimers, so some of the above may not apply to you.
Although we back up our systems regularly, you are responsible for keeping your own copies of any content that is important to you. To the fullest extent permitted by law, we are not responsible for the loss or corruption of content stored on our Services.
15. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY LAW, COMMONS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, PROFITS, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF OUR SERVICES, THE CONDUCT OF OTHER USERS, OR ANY PLANS OR MEETINGS ORGANIZED THROUGH OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO OUR SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US $100) OR THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE.
Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for gross negligence, willful misconduct, or fraud where the law does not permit such a limitation.
16. INDEMNIFICATION
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Commons and its officers, directors, employees, and agents from claims, damages, losses, and expenses, including reasonable legal fees, arising out of Your Content, your use of our Services, your violation of these Terms, or your violation of anyone else's rights.
17. DISPUTES AND GOVERNING LAW
In Short: Let's try to resolve issues informally first. Florida law applies.
Informal resolution. If you have a dispute with us, please contact us first at support@getcommons.app with a description of the issue and how you would like it resolved. We will try in good faith to resolve it informally. If we cannot resolve it within sixty (60) days, either of us may pursue the options below.
Governing law. These Terms and any dispute relating to them or our Services are governed by the laws of the State of Florida, without regard to its conflict-of-law rules, except where the laws of your place of residence require otherwise.
Where disputes are heard. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Miami-Dade County, Florida, and you and Commons consent to the jurisdiction of those courts. Either of us may instead bring an individual claim in small claims court if it qualifies.
Time limit for claims. To the extent permitted by applicable law, any claim arising out of or relating to these Terms or our Services must be brought within one (1) year after the claim arises. Otherwise, the claim is permanently barred.
18. APPLE APP STORE TERMS
If you download our app from the Apple App Store, the following also applies:
- These Terms are between you and Commons only, not Apple Inc. ("Apple"). Commons, not Apple, is solely responsible for our app and its content.
- Your license to use our app is limited to use on Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
- Apple has no obligation to provide maintenance or support for our app.
- If our app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund any purchase price paid for the app. To the maximum extent permitted by law, Apple has no other warranty obligation regarding our app.
- Commons, not Apple, is responsible for addressing any claims relating to our app, including product liability claims, claims that the app fails to meet legal or regulatory requirements, and claims under consumer protection, privacy, or similar laws.
- If a third party claims that our app or your use of it infringes their intellectual property rights, Commons, not Apple, is responsible for the investigation, defense, settlement, and discharge of that claim.
- You confirm that you are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
- You must comply with applicable third-party terms when using our app, such as your wireless data service agreement.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
19. CHANGES TO THESE TERMS
We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top. If we make material changes, we will let you know in advance, for example through our app or by email. If you continue to use our Services after changes take effect, you agree to the updated Terms. If you do not agree, you should stop using our Services and delete your account.
20. GENERAL TERMS
- Entire agreement. These Terms, together with our Privacy Policy and any guidelines we publish, are the entire agreement between you and Commons about our Services.
- Severability. If any part of these Terms is found unenforceable, the rest will remain in effect.
- No waiver. If we do not enforce part of these Terms, that does not waive our right to enforce it later.
- Assignment. You may not transfer your rights under these Terms without our consent. We may transfer ours, for example in connection with a merger or acquisition.
- Events outside our control. We are not responsible for delays or failures caused by events beyond our reasonable control.
- Relationship. These Terms do not create any partnership, employment, or agency relationship between you and Commons.
- Notices. We may send you notices through our Services or to the email address on your account.
- Electronic communications and signatures. You agree to receive communications from us electronically, including through our Services and by email, and that these communications satisfy any legal requirement that they be in writing. You also agree that accepting these Terms electronically, such as by creating an account or tapping to agree, has the same effect as a handwritten signature.
